These Terms and Conditions (“Conditions”) apply to services supplied by XIGAMO LTD (“we”, “us”) of 3 Venics Way, High Wycombe, HP11 1LN, United Kingdom to a business client (“you”). They apply to motion picture and video production, video post-production and colour grading, VFX and CGI software integration, 3D animation and motion graphics, specialised design services, interactive media and game design development, virtual production and spatial computing solutions, computer systems design and related services, custom computer programming services, and custom media pipeline and rendering software. These Conditions prevail over your purchase terms unless we sign a deed poll or variation. A statement of work, estimate or purchase order accepted by us forms part of the contract. If there is conflict, the statement of work prevails on scope and fee, and these Conditions prevail on legal risk, IP default rules and limitation of liability unless the statement of work expressly varies a named clause.

1. Definitions

For the purpose of this clause, “chamber” means the controlled body of work in which picture, effects and software are equalised before a delivery gate is opened. “Waterline” means the recorded state of approvals, technical specifications and remaining risk. “Gate order” means the sequence in which we agree to release stages of work. 2. Formation of contract

No contract exists until we accept an instruction in writing, including email from a person who appears authorised, or we begin paid work at your request. Website passage requests are invitations to treat. We may refuse a brief that would force a structure or require unlawful content.

3. Quotes and validity

Estimates are valid for thirty days unless stated otherwise and assume the waterline described. If rushes, plates, engines or access arrive late, the estimate is voidable at our option and a new reading will be issued.

4. Scope and lock method

We work by holding, reading, filling, equalising, opening and passing. You acknowledge that equalisation time is part of the fee. Instructing us to skip a gate does not transfer the risk of overflow to us unless we agree in a signed variation.

5. Client obligations

You must supply materials, access, decisions and licences in the gate order we specify. You must nominate a single waterline reader with authority to approve. Delay in approval is a client delay.

6. Approvals and waterline sign-off

Approvals may be given by email or on a review platform. Silence after five working days from a stated review may be treated as approval if we have warned you in the review notice. Picture lock, grade lock and software acceptance are separate waterlines.

7. Change control

Changes to story, look, engine version, delivery codec, interactive scope or farm scale are change control. We will quote time and money. Work on the change does not begin until you instruct in writing, except emergency holds to prevent overflow.

8. Fees and expenses

Fees are as quoted. Day rates assume a standard UK working day unless night or volume days are specified. Expenses including travel from High Wycombe, media, stock, specialist licences, GPU cloud and couriers are additional if not included.

9. Taxes

Fees are exclusive of VAT. You pay VAT as required by UK law. Reverse charge or overseas tax treatment will be stated on the invoice where applicable.

10. Invoicing and late payment

Invoices are due fourteen days from date of invoice unless the statement of work sets a different waterline. We may charge statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. We may suspend the chamber if sums are overdue.

11. Production services

Production services include preparation, capture and editorial as scoped. We are not a boat operator, harbour authority or tourism company. Locations are your responsibility unless we are contracted to produce them. Weather, drone permissions and police notices are client risk unless we are expressly hired to obtain them.

12. VFX and CGI integration

VFX and CGI integration includes the shots and software connections listed. Iterations beyond the stated number are change control. Simulation cache sizes, lookdev and render samples are waterline items; increasing them without a variation floods the farm.

13. Colour and finishing

Colour and finishing assume a stated viewing environment. If you approve on an uncalibrated laptop, the risk of later mismatch sits with you. Delivery encodes follow the stated specification; additional packages are extra.

14. Software development

Software is supplied as a commissioned work product, not as a consumer app store item. Unless the statement of work says otherwise, we deliver object or source as specified, with a limited warranty against material defects for thirty days after acceptance.

15. Pipeline and rendering tools

Pipeline and rendering tools may be installed in your environment or ours. You must not resell them. Usage may be limited to a named show or named site. We are not liable for farm hardware you control.

16. Virtual production

Virtual production and spatial computing depend on volume availability, LED behaviour and on-set compute. We do not warrant that a third-party stage will match a previsualisation if the stage operator changes panels or processors.

17. Interactive and game-adjacent design

Interactive media and game-adjacent design is not a published game unless so scoped. Engine upgrades mid-chamber are change control. Certification for storefronts is your cost unless included.

18. Personnel and subcontracting

We may subcontract VFX, grade, code or capture to persons of suitable skill. We remain responsible to you for subcontracted performance, except for vendors you nominate.

19. Timetable and force majeure

Dates are targets, not guarantees of harbour-style berthing. Force majeure includes epidemic, utility failure, cloud-region outage, industrial action, and lawful authority. We will hold the chamber and reset the waterline.

20. Client materials and chain of title

You warrant you own or control client materials and will indemnify us against claims arising from those materials, including music, likeness, trade marks and software you supply.

21. Third-party materials

Third-party plugins, stock, fonts and SDK licences required by your brief will be obtained in your name or billed as expenses. If a vendor withdraws a licence, we will propose an equalisation path; extra cost is yours unless we specified a substitute in the quote.

22. Music, fonts and stock

Music, fonts and stock not listed as included are excluded. “Similar to” references do not include the referenced work’s licence.

23. Talent and extras

You are responsible for talent agreements unless we are engaged to contract them as your agent, which requires a written mandate. Children in picture require your compliance with performance licensing.

24. Health and safety

Each party will comply with health and safety law. On our premises at 3 Venics Way, High Wycombe, HP11 1LN, United Kingdom our rules apply. On your stage, yours apply. We may refuse unsafe lock-beam movement.

25. Insurance

You maintain production insurance including negative/faulty stock or digital equivalent, public liability and, where relevant, errors and omissions. We maintain professional indemnity and public liability at commercially reasonable levels. Certificates on request.

26. Confidentiality

Each party keeps the other’s confidential information secret for five years after the contract ends, except information that is public, independently developed, or required to be disclosed by law. 27. Publicity and credits

28. Data protection

Each party is an independent controller for its own staff data, and we are processor for production personal data you supply, under a processing schedule if required by UK GDPR. International transfers follow the Privacy Policy tools.

29. Information security

We apply appropriate technical and organisational measures. You must not require us to disable security to speed a gate. Credentials must not be sent through unsecured channels.

30. Intellectual property in picture

Subject to payment, you own the commissioned moving image and stills as specified, excluding our pre-existing tools, stock and third-party materials. We retain a licence to use techniques and non-confidential know-how.

31. Intellectual property in software

For software, unless the statement of work assigns copyright, we grant you a non-exclusive, non-transferable licence to use the commissioned code for the named production or internal pipeline. Assignment, if agreed, excludes our libraries and third-party code.
